By submitting your user generated content, you authorize the Canadian Women’s Foundation, each of its affiliates and each of its subsidiaries, or such other person as the Agency or the Client may designate from time to time (collectively, the “ License holders”), the absolute and irrevocable, royalty free right and permission without obligation, notification, or accounting to use, reproduce, distribute, display, exhibit, perform, publish, broadcast, transmit, modify, prepare derivative works of and otherwise utilize all or any portion of your user generated content, in any form or format, on or through any media or medium and with any technology or devices now known or hereafter developed including, but not limited to, broadcast television, print, internet and digital, including without limitation Agency’s and Client’s websites and social media channels (such as Twitter, Facebook, Instagram and Google+), for purposes of advertising and publicity for Client and its products and services, or for any other lawful purpose whatsoever. Without limiting the foregoing, you hereby grant Licensees the right to edit, arrange, rearrange, adapt, and combine my user generated content with other materials in its sole discretion. In addition to the foregoing, you also grant Licensees the absolute and irrevocable, royalty free right and permission without obligation, notification, or accounting to use your name, image, likeness, performance, photograph, biographical information, statements as featured in your user generated content for purposes of advertising and publicity for Client and its products and services, or for any other lawful purpose whatsoever, in any form or format, on or through any media or medium and with any technology or devices now known or hereafter developed including, but not limited to, broadcast television, print, internet and digital, including without limitation Agency’s and Client’s websites and social media channels (such as Twitter, Facebook, Instagram and Google+). You also understand and agree that neither all or any portion of your User Content, nor any commercial, advertisement, promotional, marketing, or other material associated with your User Content, need to be submitted to you for approval prior to use.
You warrant and represent that (i) you are the sole and exclusive owner of the user generated content you are submitting; (ii) the user generated content you are submitting is your own creation and are one hundred percent (100%) original; (iii) the user generated content you are submitting does not infringe on any copyright, trademark, right of privacy or publicity or any other intellectual property rights of any third parties; (iv) you are 16 years of age or older, and if you are not at least 18 years of age, you agree to have your parent or legal guardian check the parent/legal guardian consent box below; and (v) any third party whose likeness or property appears in the user generated content you are submitting has given you written consent for such likeness and/or property featured and used as permitted herein (and such consent shall be made available to Licensees upon request). You agree that all right, title, and interest in and to the finished product(s) produced and used by Licensees containing your user generated content, including all copyrights therein, shall vest exclusively in Client and you shall have no rights of approval over such finished product(s).
You agree that you will not hold Licensees or any of their respective parent, affiliated, subsidiary and/or related companies, and their advertising or promotional agencies or sponsors (the “Released Parties”) responsible for any liability resulting from the use of your user generated content in accordance with the terms hereof, including what might be deemed to be a misrepresentation of you or any of the Materials due to distortion, optical illusion or faulty reproduction which may occur in the finished product containing the user generated content or for any claims based on copyright infringement, trademark infringement, disparagement, slander, right of privacy, right of publicity and/or defamation. You hereby defend, indemnify, and hold harmless the Released Parties, and their respective employees, contractors, officers, directors, and agents from all liabilities, claims and expenses, that arise from your breach of any provision of this agreement.
